Perth Business Values: Test The Numbers

The figure in your head may not survive a close review of the accounts. A Perth valuation starts by defining the purpose, valuation date and ownership interest being examined. A whole company, a 40 per cent shareholding and selected business assets can produce different results. Before seeking perth business valuations, gather tax returns, management accounts, asset registers, leases, contracts and details of unusual income or costs.

The purpose determines the method and the level of detail required. A sale valuation usually considers what a willing buyer might pay, while a family law matter may require a fair assessment of interests under the relevant circumstances. A capital gains tax calculation has its own rules and timing requirements, and an estate or financial planning exercise may focus on ownership, liquidity and future assumptions. These are not interchangeable reports. A useful brief states who will rely on the valuation, whether the result is for negotiation or formal evidence, and the date that matters.

One common method is the market approach. It compares the business with transactions or trading businesses that have similar characteristics, then adjusts for differences in size, industry, location, risk and profitability. Another is an earnings multiple, which applies a multiple to maintainable earnings. Maintainable earnings means an adjusted level of profit that the business could reasonably generate under normal conditions. For example, a Perth trades business with one unusually large project may need that project separated from recurring work before a multiple is applied. A simple multiple of last year’s profit could therefore mislead.

Normalisation is the process of removing or adjusting items that do not reflect ordinary operations. An owner’s private vehicle, above-market family wages, one-off legal costs or temporary rent concessions may all need examination. The adjustment is not automatic: an incoming owner may have to replace unpaid owner labour, and a supposedly unusual expense may recur. Goodwill is another technical term worth clarifying. It represents value attached to customer relationships, reputation, systems and expected future earnings beyond identifiable assets. If customers depend heavily on the departing owner, that goodwill may be less transferable and the valuation may fall.

A discounted cash flow method takes a different route. It estimates future cash flows and converts them into a value today using a discount rate that reflects risk and the time value of money. It can be useful where growth is supported by credible forecasts, but small changes to revenue, margins, long-term growth or the discount rate can materially change the answer. Imagine a software consultancy forecasting rapid expansion after hiring two staff. The forecast should be tested against signed work, capacity and cash requirements, rather than accepted because the spreadsheet appears precise.

The balance sheet still matters, even where earnings drive the main valuation. Stock may be obsolete, plant may be worth less than its book value, and working capital may need to remain in the business after completion. Debt, director loans, surplus cash and leased equipment also affect what a buyer receives and what the seller actually keeps. A valuation report should distinguish enterprise value from equity value. Enterprise value describes the operating business before certain financing adjustments; equity value is the residual amount attributable to owners after relevant debts and adjustments are considered.

Good preparation does not mean presenting only favourable information. A valuer will usually need to understand customer concentration, staff dependence, supplier terms, competition, compliance obligations and any pending disputes. A café with strong profit but a lease nearing expiry carries a different risk from one with secure premises, even if the accounts look alike. Ask how assumptions were selected, which evidence supports them, and how sensitive the result is to changes. If the valuation is for a dispute, obtain valuation advice for owners early, so records and explanations are ready before positions harden.
